What Agility and Churchill announced

Agility Robotics and Churchill Capital Corp XI said on 4 November 2026 that they had completed their business combination. The combined company's common stock and warrants began trading on Nasdaq on 5 November under the tickers AGLT and AGLTW. Churchill XI shareholders had approved the deal two days earlier, on 2 November, with more than 84% of votes cast in favour, according to Unite.AI and the shareholder-approval release filed with the SEC.

The transaction values Agility at about $2.5 billion, the figure set when the merger was announced in June 2026. It is expected to bring about $465 million in gross proceeds. About $164 million comes from Churchill XI's trust account after shareholders redeemed part of it, about $201 million from a private investment in public equity led by Foxconn, and $100 million from a funding round Agility closed after the SPAC deal was announced. Before redemptions, the companies had projected more than $620 million if no shareholders cashed out.

Existing Agility shareholders and the Churchill sponsor are subject to a 180-day lock-up from closing, with early release possible if the share price meets set targets. Peggy Johnson remains chief executive, and co-founder Damion Shelton joins the board of the listed company. Bloomberg describes Agility, which counts NVIDIA among its backers, as the first company focused purely on humanoid robots to list in the United States.

The business behind the listing

Agility builds Digit, a humanoid designed for warehouse and factory material handling, at its RoboFab plant in Salem, Oregon. It sells the robot mainly as a service, so revenue builds up over the working life of each deployment rather than at signing. Named customers include GXO, Schaeffler, Toyota Motor Manufacturing Canada and Mercado Libre. Last month GXO said it would extend Digit to sites in North Carolina and Tennessee from early 2027, after Digit moved more than 100,000 totes at its Georgia site.

The company says it has more than $300 million in multi-year orders for Digit 5, the version unveiled in September, with early access planned for the first half of 2027. According to TechRepublic and GeekWire, most of that figure is one three-year contract for 1,000 robots with an unnamed customer, and the filings say the backlog is not a measure of current revenue and depends on Agility hitting milestones. GeekWire's reading of the filings puts 2025 net sales at $1.78 million against an operating loss of $140.2 million.

What changed and why it matters

Until this week, investors who wanted exposure to humanoid robots in the US had to buy large companies such as Tesla or NVIDIA, for which humanoids are a small part of the business, or wait for private rounds. AGLT gives public markets a direct price for the category for the first time, and that price will be watched by private rivals such as Figure AI and Apptronik when they consider their own listings.

The numbers also show the gap between valuation and revenue. A $2.5 billion company with under $2 million in 2025 sales is a bet on the order book turning into deployed robots. The SPAC route, which lets a company list with forward-looking projections and less of the scrutiny of a traditional initial public offering, has a mixed record: many companies that listed that way in 2020 and 2021 traded well below $10 a share within two years. The level of redemptions, which cut the trust contribution well below its maximum, suggests that some SPAC shareholders preferred their cash back to Agility shares.

What to watch next

Other rounds and listings are in our AI business coverage. As a listed company, Agility will now report quarterly results, which will show how fast Digit 5 deliveries and service revenue grow and how quickly it uses the new cash. Key dates are the start of Digit 5 early access in the first half of 2027, the GXO site openings and the end of the lock-up in about May 2027, when existing holders can sell.
