What Guidewire announced

Guidewire said on 27 October 2026 that it had signed a definitive agreement to acquire Hyperexponential Ltd, known as hx. The base purchase price is $1.7 billion in cash, subject to adjustments, with up to $400 million more in contingent consideration if specified recurring revenue targets are met. The announcement came at Guidewire's Connections conference in Las Vegas.

hyperexponential is a London company that sells an agentic platform for commercial property and casualty underwriting. Guidewire says the software powers underwriting decisions across more than $75 billion of annual commercial premium for insurers, reinsurers and managing general agents. Named customers include Aviva, Allianz, Sompo, Beazley, Markel, HDI, Cincinnati Financial, Convex and Bowhead. hx was already a Guidewire technology partner.

Deal terms and financing

Guidewire plans to pay with $1.0 billion of new term loan financing plus existing cash. Bank of America and Citibank have given a binding debt commitment for the loan. The company expects the deal to close in the second quarter of its fiscal year 2027 and says it will not change first quarter guidance issued on 3 September 2026. Updated full-year guidance is due on the next earnings call in December 2026.

Guidewire says the purchase will add at least 650 basis points of inorganic ARR growth in fiscal 2027, then at least 150 basis points a year of organic ARR growth from fiscal 2028. It says the deal stays consistent with its long-term margin targets. Centerview Partners advised Guidewire and J.P. Morgan advised hyperexponential. hyperexponential's own revenue, profit and headcount are not stated in the announcement.

Why it matters

Guidewire is the dominant core system vendor for P&C insurers, with more than 570 insurer customers in 44 countries, by its own count. Buying an AI underwriting layer moves it from systems of record into the pricing and risk decisions themselves, the part of the process insurers guard most closely. CEO Mike Rosenbaum framed the deal around agentic underwriting, in which AI agents assess, price and decide alongside underwriters and actuaries. The deal follows other recent purchases of AI software makers by established application vendors, including Salesforce's agreement to buy Braze. More deals are tracked under AI Business & Funding.

What to watch next

The deal needs to close, and the release does not list which regulatory approvals are required. The next data point is Guidewire's December 2026 earnings call, where it will fold hx into its fiscal 2027 outlook. Customers will also want to know how the hx platform will be packaged with Guidewire's PolicyCenter and other products, which the announcement does not say.
