What Vertiv reported

Vertiv reported third quarter 2026 results on 28 October 2026. Net sales were $4,313 million, up $1,637 million or 61% from the third quarter of 2025, with 55% organic growth and about 6 points from acquisitions. The Americas grew 75%, Asia Pacific 50% and Europe, the Middle East and Africa 23%.

Operating profit rose 90% to $984 million and adjusted operating profit rose 83% to $1,087 million. Adjusted operating margin was 25.2%, up 290 basis points. Diluted earnings per share grew 91% to $1.95 and adjusted diluted EPS grew 78% to $2.21. Operating cash flow was $794 million and adjusted free cash flow $652 million. Liquidity reached $6.2 billion with a net cash position.

Guidance and the UIG acquisition

Vertiv raised its full-year 2026 net sales guidance by $650 million to a range of $14,450 million to $14,850 million, with organic growth of 37% to 39%. For the fourth quarter it expects net sales of $4,313 million to $4,513 million and organic growth of 49% to 51%. CEO Giordano Albertazzi said organic orders grew more than 100% year over year and called the current period the largest infrastructure buildout. Capital spending is still planned at about 4.0% of revenue.

On 27 October, Vertiv also completed its acquisition of UtilityInnovation Group, a Raleigh-based microgrid and behind-the-meter power company, for about $1.45 billion in cash. Up to $1.15 billion more is payable if EBITDA targets are hit over 12 and 24 months. Vertiv says the price is about 13 times expected UIG 2027 EBITDA and that the deal extends its portfolio from the grid interconnect to the chip.

Why it matters

Vertiv sells the power and thermal equipment that sits around AI accelerators, so its orders are an early signal of how many data centers are being built. Orders more than doubling, while sales grow 61%, suggests demand is still rising faster than shipments. The UIG purchase points to the other constraint: Vertiv says access to power has become a critical competitive advantage as grid limits slow AI data center deployment. The same pressure is behind recent power deals such as Google's nuclear agreement with Constellation. More infrastructure news is in AI Chips & Infrastructure.

What to watch next

The release does not give a backlog figure or split sales by AI and non-AI customers, so the 10-Q will be the next place to look. Hyperscaler capital spending updates from Alphabet, Microsoft and Amazon this week will show whether the order growth holds into 2027.
